Terms and Conditions for Autoocharge – Stripe Subscriptions for WooCommerce

These terms and conditions apply to the use of Autoocharge – Stripe Subscriptions for WooCommerce, available through autoocharge.com, and to any related plugin, service, documentation, support or add-on service provided by Wetail AB.

1. Definitions
Wetail, we, us or the Producer means Wetail AB, a Swedish company with the registration number 559124-3588.
Customer or you means the legal person or business entity entering into an agreement with Wetail AB.
Service means Autoocharge – Stripe Subscriptions for WooCommerce, including the WordPress/WooCommerce plugin, related functionality, access to updates, documentation, support and any related subscription or add-on services provided by Wetail.
Plugin means the WordPress and WooCommerce plugin supplied by Wetail for connecting WooCommerce to Stripe-powered subscription functionality.
WooCommerce means the open-source ecommerce platform used together with WordPress.
WordPress means the publishing platform on which WooCommerce is based.
Stripe means Stripe or any Stripe group company whose products, infrastructure, APIs, subscription functionality, customer portal, tax services, payment methods or other related services are used by the Customer in connection with the Service.
Third-party services means services, systems, APIs, platforms, plugins, payment methods, tax engines, hosting providers, themes, extensions or other tools not owned or controlled by Wetail.
Agreement means these terms and conditions together with any order confirmation, subscription plan, pricing page, checkout information, written agreement or other agreement entered into between Wetail and the Customer regarding the Service.
2. Contracting Party
The Customer enters into an agreement with Wetail AB, a Swedish company with the registration number 559124-3588.
The Agreement concerns the Service, including the Plugin and any related add-on services, support or consultancy services ordered by the Customer.
The Service is intended for business use. By ordering the Service, the Customer confirms that it acts as a business or professional user and not primarily as a consumer.
3. Acceptance of Terms
The Agreement is accepted when the Customer completes an order, starts a subscription, downloads the Plugin, activates a trial, confirms acceptance of the terms in checkout, or otherwise starts using the Service.
The Agreement begins on the date when the Customer completes the order or otherwise activates access to the Service.
The Customer is responsible for ensuring that the person accepting the Agreement has authority to bind the Customer.
4. Trial Period
If the Service is offered with a free trial, the length and conditions of the trial are stated at the time of purchase or activation.
The trial is intended to allow the Customer to test the Service before entering into a paid subscription. Unless otherwise stated at checkout, Wetail does not offer a money-back guarantee for paid subscription periods after the trial has ended.
Wetail reserves the right to limit, suspend or end a trial if Wetail suspects misuse, excessive use, security risks, payment abuse, or use that may harm Wetail, Stripe, third parties or other customers.
5. Prices and Payment
All prices are stated excluding VAT unless otherwise stated.
Payment is made through the payment method offered at checkout, normally by card or another payment method supported by Stripe.
The Customer chooses the billing frequency available at the time of purchase, for example monthly or yearly billing. The selected billing period is charged in advance unless otherwise stated.
Paid and commenced billing periods are non-refundable unless otherwise required by mandatory law or expressly agreed in writing.
Wetail may change prices, plans, included features or billing models. Price changes will not affect an already paid billing period but may apply from the next renewal period.
If payment cannot be completed, Wetail may suspend access to the Service, stop providing updates or support, terminate the subscription, and take steps to collect outstanding amounts.
6. Subscription Term and Termination
The subscription renews automatically until terminated by the Customer or by Wetail, unless otherwise agreed.
The Customer may terminate the subscription through the account page, customer portal, checkout account, or other cancellation method made available by Wetail.
Upon termination, the Service remains active until the end of the current paid billing period, provided that payment has been completed.
No refund is made for already paid and commenced billing periods.
Wetail may terminate the Agreement with immediate effect if the Customer fails to pay, breaches these terms, misuses the Service, creates security risks, violates applicable law, infringes third-party rights, or uses the Service in a way that may harm Wetail, Stripe, third parties or other customers.
7. Right to Withhold Services
If the Customer fails to fulfil its payment obligations under this Agreement or any other agreement between the Customer and Wetail, Wetail has the right to withhold its performance under all agreements between the parties until full payment has been received.
This includes, but is not limited to, the right to suspend access to the Service, updates, support, plugin downloads, license activation, documentation requiring login, consultancy services, hosting services or other services provided by Wetail.
If payment remains outstanding after written reminder, Wetail may terminate the Agreement with immediate effect and take legal or collection measures to recover outstanding amounts.
8. Support
Wetail provides support through the support channels stated on autoocharge.com, docs.wetail.io or wetail.io/support. Wetail normally aims to respond within one business day, but more complex issues may require additional time.
Support included in the Service is limited to general support relating to the Service itself. Support does not include custom development, troubleshooting of unrelated plugins, theme conflicts, server issues, Stripe account configuration, WooCommerce customizations, business setup, tax advice, accounting advice or other work outside the standard Service.
Issues requiring more than minor investigation or work may be charged on a time-and-materials basis according to Wetail’s current price list, unless otherwise agreed.
Wetail may offer separate consultancy, customization, onboarding or extended support services. Such services are outside this Agreement unless expressly included in the Customer’s plan or separately agreed.
9. Customer Responsibilities
The Customer is responsible for installing, configuring and using the Service correctly.
The Customer is responsible for the Customer’s WordPress installation, WooCommerce setup, Stripe account, products, prices, tax settings, subscription settings, payment methods, customer communication, legal compliance, accounting, bookkeeping and business processes.
The Customer is responsible for ensuring that all information entered into WordPress, WooCommerce, Stripe or the Service is correct and complete. This includes product information, prices, tax settings, currencies, billing intervals, trial periods, renewal settings, cancellation rules, customer data and payment configuration.
The Customer is responsible for testing the Service before using it in production and before offering subscription products to end customers.
The Customer is responsible for monitoring orders, renewals, cancellations, failed payments, subscription statuses, tax calculations and Stripe events.
The Customer is responsible for maintaining appropriate backups of its website, database, configuration and business data.
The Customer must not use the Service in violation of applicable law, third-party rights, Stripe’s terms, WooCommerce’s terms, WordPress rules, payment network rules or any other relevant third-party terms.
10. Stripe and Third-party Services
The Service depends on Stripe, WooCommerce, WordPress and other third-party systems.
Wetail is not Stripe, a payment provider, a bank, a card acquirer, a payment institution, a tax advisor, an accounting provider or a merchant of record for the Customer’s end customers.
The Customer enters into its own agreement with Stripe and is solely responsible for complying with Stripe’s terms, requirements, restrictions, account settings and compliance obligations.
Wetail is not responsible for errors, interruptions, limitations, price changes, API changes, authentication changes, payment failures, tax calculation errors, account restrictions, payouts, chargebacks, disputes, blocked accounts, delayed payments or other issues caused by Stripe or another third party.
Wetail is not responsible for errors, interruptions or incompatibilities caused by WooCommerce, WordPress, the Customer’s theme, other plugins, hosting environment, server configuration, custom code, browser extensions, caching, security tools or other third-party systems.
If changes in Stripe, WooCommerce, WordPress or another third-party system require changes to the Service, Wetail may modify, limit, suspend or discontinue affected functionality.
11. Functionality of the Service
The Service is a technical plugin and related service for enabling Stripe-powered subscription functionality in WooCommerce.
Wetail does not guarantee that the Service will support every possible business model, subscription setup, product type, tax scenario, payment method, currency, country, custom workflow, theme, plugin, API integration or WooCommerce customization.
The Service may include functionality for subscription products, trials, grace periods, promotional pricing, coupons, renewal handling, customer portal features, synchronization between WooCommerce and Stripe, and related administrative tools. The exact functionality depends on the Customer’s plan, the current version of the Service, Stripe’s available functionality and the Customer’s technical environment.
Wetail may continuously improve, modify, replace or remove functionality in the Service where this is necessary for security, compatibility, legal compliance, technical development, third-party changes or product strategy.
12. Updates and Compatibility
Wetail may provide updates to the Plugin and the Service.
The Customer is responsible for ensuring that the Customer’s WordPress, WooCommerce, PHP version, server environment, Stripe account and other dependencies are compatible with the Service.
Wetail is not responsible for issues caused by outdated software, unsupported versions, custom code, modified plugin files, disabled updates, incompatible themes, conflicting plugins, caching layers, server restrictions or security tools.
The Customer must not modify the Plugin unless expressly permitted by Wetail. Wetail is not responsible for any issues arising from modified code, unauthorized changes or use outside the intended scope of the Service.
13. Customizations and Work Outside the Service
Custom development, custom integrations, theme adaptations, special workflows, migration assistance, troubleshooting of third-party issues, Stripe configuration, WooCommerce configuration, tax setup, accounting setup and similar work are not included in the standard Service unless expressly agreed.
Such work may be offered as consultancy and charged on a time-and-materials basis according to Wetail’s current price list or a separate written agreement.
Wetail is not responsible for maintaining customizations unless maintenance has been expressly agreed in writing.
14. Intellectual Property
Wetail retains all intellectual property rights to the Service, the Plugin, Wetail-developed code, documentation, design, concepts, trademarks, product names and related materials, except where third-party licenses state otherwise.
The Customer receives a limited, non-exclusive, non-transferable right to use the Service during the active subscription period and in accordance with this Agreement.
The Customer may not copy, resell, sublicense, distribute, reverse engineer, make available, reproduce, commercially exploit or otherwise use the Service outside the scope of the Agreement.
Any design, content, product data, customer data, trademarks or other material supplied by the Customer remains the property of the Customer or its respective owner.
15. Uploaded Material and Customer Data
The Customer is responsible for all material, data and information uploaded, processed or transmitted through the Customer’s website, WooCommerce installation, Stripe account or the Service.
Wetail does not routinely review Customer data, product data, end-customer data, uploaded files, subscription information, order data or other content.
The Customer is responsible for ensuring that all such material is lawful, accurate and does not infringe third-party rights.
16. Data Protection
The Customer is responsible for ensuring that its use of the Service complies with applicable data protection laws, including the GDPR where applicable.
The Customer is responsible for informing its end customers about how personal data is processed, including processing through WooCommerce, Stripe and any other third-party services used by the Customer.
Where Wetail processes personal data on behalf of the Customer, such processing is governed by Wetail’s applicable privacy policy, data processing terms or separate data processing agreement, where required.
The Customer acknowledges that Stripe and other third parties may act as independent controllers or processors depending on the circumstances and their own terms.
17. Limitation of Liability
Wetail is not liable for loss of profit, loss of revenue, loss of sales, loss of production, loss of data, loss of goodwill, loss of customers, business interruption, expected savings, increased costs, claims from end customers, chargebacks, disputes, payment failures, tax errors, accounting errors, or any other indirect or consequential loss.
Wetail is not liable for losses or problems caused by incorrect settings, incorrect information supplied by the Customer, incorrect product setup, incorrect tax setup, incorrect Stripe configuration, incorrect WooCommerce configuration, unsupported workflows, custom code, third-party plugins, theme conflicts or external systems.
Wetail is not liable for defects, interruptions, errors or changes in Stripe, WooCommerce, WordPress, payment methods, tax services, APIs, hosting providers, themes, plugins or other third-party services.
Wetail’s total liability under this Agreement is limited to the amount actually paid by the Customer to Wetail for the Service during the billing period in which the issue occurred.
If the issue concerns an ongoing disruption lasting more than one day, Wetail’s liability is limited to the amount charged by Wetail for the Service for the affected month, until the Service is operational again.
Wetail has no liability for planned maintenance, security updates, compatibility updates, version upgrades or changes required due to third-party systems.
The limitations in this section apply to the fullest extent permitted by applicable law.
18. Service Interruptions
Wetail strives to provide a reliable Service but does not guarantee uninterrupted or error-free operation.
The Service may be unavailable due to maintenance, updates, security measures, third-party interruptions, Stripe issues, WooCommerce issues, WordPress issues, hosting problems, internet disruptions, force majeure events or other circumstances outside Wetail’s control.
Wetail is not responsible for downtime, failed renewals, failed synchronization, failed webhooks, delayed events, incorrect order statuses or other issues caused by the Customer’s website, Stripe configuration, third-party systems or external infrastructure.
19. Complaints and Error Reporting
The Customer must report any suspected error in the Service in writing without undue delay after the Customer discovered or should have discovered the error.
The report must contain sufficient information for Wetail to investigate the issue, including relevant order numbers, subscription IDs, Stripe event IDs, screenshots, timestamps, logs, plugin version, WooCommerce version, WordPress version, PHP version and a clear description of the issue.
If the Customer continues to use the Service despite knowing or having reason to suspect that an error exists, the Customer is responsible for any costs, losses or consequences resulting from continued use.
Failure to report an issue without undue delay may result in the Customer losing the right to rely on that issue as a breach of the Agreement.
20. Suspension and Restriction of the Service
Wetail may temporarily restrict or suspend the Customer’s access to the Service if Wetail suspects payment failure, misuse, security risk, excessive usage, technical problems, unlawful use, breach of third-party terms, harmful activity or use that may damage Wetail, Stripe, third parties or other customers.
Wetail may also restrict or suspend functionality if required due to changes in Stripe, WooCommerce, WordPress, payment regulations, security requirements, legal requirements or other circumstances affecting the Service.
21. No Legal, Tax or Accounting Advice
The Service is a technical tool. Wetail does not provide legal, tax, accounting, financial, compliance or payment-regulatory advice through the Service.
The Customer is responsible for obtaining its own professional advice regarding taxes, VAT, accounting, consumer rights, subscription disclosures, refund rules, cancellation rights, payment regulations and other legal or financial obligations.
22. Force Majeure
Wetail is not liable for failure or delay in performing its obligations due to circumstances outside Wetail’s reasonable control.
Such circumstances include, but are not limited to, war, natural disasters, labour disputes, government decisions, changes in law, power outages, internet disruptions, cyberattacks, security incidents, supplier failures, payment network issues, Stripe disruptions, hosting failures, API changes, pandemics, or other comparable events.
If such circumstances prevent Wetail from fulfilling its obligations, Wetail’s obligations are suspended for as long as the circumstances continue.
23. Changes to these Terms
Wetail may update these terms from time to time.
The version available on autoocharge.com or otherwise provided by Wetail applies from the date stated in the terms, unless otherwise required by law or agreed in writing.
For ongoing subscriptions, material changes will apply from the next renewal period or from the date communicated by Wetail, unless the change is required earlier due to law, security, third-party requirements or technical necessity.
Continued use of the Service after the updated terms have become effective constitutes acceptance of the updated terms.
24. Governing Law and Disputes
This Agreement is governed by Swedish law.
Any dispute arising out of or in connection with this Agreement shall primarily be resolved through dialogue between the parties.
If the parties cannot resolve the dispute, the dispute shall be settled by a Swedish court, unless mandatory law provides otherwise.
